1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MRV Consulting LTD, an Ontario, Canada company ("Company", "we", "us", or "our"), which owns and operates the NearRide mobile application, website, and related services (collectively, the "Service"). By accessing, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable local, state, national, and international laws and regulations.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Service and may not access or use any part of the Service. Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the modified Terms.
2. Eligibility and Age Requirements
The Service is intended for users who are at least 16 years of age. By using the Service, you represent and warrant that:
- You are at least 16 years old
- You have the legal capacity and authority to enter into these Terms
- You are not prohibited from using the Service under applicable laws
- You will comply with all applicable laws and regulations in your use of the Service
- All information you provide to us is accurate, current, and complete
If you are under 18 years of age, you represent that you have obtained parental or guardian consent to use the Service. We reserve the right to verify your age and may suspend or terminate your account if we determine that you do not meet the age requirements.
3. Account Registration and Security
To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including but not limited to your email address, username, display name, and age. You agree to:
- Maintain and promptly update your account information to keep it accurate, current, and complete
- Maintain the security and confidentiality of your account credentials, including passwords and authentication codes
- Accept full responsibility for all activities that occur under your account, whether authorized by you or not
- Immediately notify us at support@nearride.app of any unauthorized access to or use of your account
- Not share your account credentials with any third party or allow others to access your account
- Not create multiple accounts for the purpose of circumventing our policies or restrictions
You are solely responsible for maintaining the confidentiality of your account and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.
4. Beta Service and Disclaimer
The Service is currently offered as a beta version. Bugs, errors, interruptions, and other issues may occur. The Service is provided for testing and feedback purposes. MRV Consulting LTD is not liable for any bugs, defects, errors, data loss, unavailability, or other issues that may occur while using the beta Service. Use of the Service is at your own risk.
5. Service Description and Platform-Only Role
NearRide is a platform to manage and connect communities of motorcycle and bike riders. The Company has no responsibility for, and no intent to be part of, the communities or activities organized through the Service. The sole purpose of the Service is to provide the platform that enables users to connect with each other. The Service enables users to:
- Discover and browse nearby group rides ("rideouts") based on location
- Create, organize, and manage rideouts, including setting details such as start time, location, pace, skill level, bike types, and visibility settings
- RSVP to rideouts (going, interested, or left status)
- Communicate with other users through real-time chat features within rideouts
- Create and maintain user profiles with information such as display name, bio, bike types, and avatar images
- Follow other users and build connections within the riding community
- Build reputation through participation, ratings, and badges
- Share images and content related to rides and the riding community
- Receive push notifications about rideouts, messages, and other relevant updates
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.
6. User Conduct and Prohibited Activities
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Illegal Activities: Use the Service for any illegal purpose or in violation of any local, state, national, or international law or regulation
- Harmful Content: Post, upload, transmit, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
- Violence and Threats: Threaten, incite, or promote violence against individuals or groups, or engage in any activity that could cause physical or emotional harm
- Harassment and Bullying: Harass, abuse, intimidate, bully, or harm other users, including but not limited to stalking, trolling, or making unwanted contact
- Impersonation: Impersonate any person or entity, falsely claim affiliation with any person or entity, or misrepresent your identity, qualifications, or affiliations
- Spam and Unauthorized Communications: Send unsolicited messages, spam, chain letters, or any form of unauthorized advertising, promotional materials, or junk mail
- Data Collection: Collect, harvest, or store personal data about other users without their explicit consent, or use automated systems (such as bots, scrapers, or spiders) to access the Service
- Interference: Interfere with, disrupt, or damage the Service, servers, networks, or systems connected to the Service, including by introducing viruses, malware, or other harmful code
- Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
- Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service
- Commercial Use: Use the Service for any commercial purpose without our prior written consent, including but not limited to advertising, marketing, or selling products or services
- False Information: Provide false, inaccurate, or misleading information, including false rideout details, fake locations, or deceptive RSVP statuses
- No-Show Behavior: Repeatedly RSVP to rideouts and fail to attend without proper cancellation or communication
- Content Violations: Post content that violates intellectual property rights, privacy rights, or any other rights of third parties
- Exploitation: Exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content or engaging in inappropriate communications
Violation of any of these prohibitions may result in immediate suspension or termination of your account and may subject you to civil and criminal liability.
7. Content Ownership and License
Your Content: You retain all ownership rights in the content you create, post, upload, or transmit through the Service ("Your Content"), including but not limited to text, images, photos, videos, and other materials.
License to Us: By posting, uploading, or transmitting Your Content through the Service, you grant MRV Consulting LTD a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit Your Content in connection with:
- Operating, providing, and improving the Service
- Promoting and marketing the Service
- Creating aggregated or anonymized data for analytics and service improvement
- Complying with legal obligations and enforcing our rights
This license continues even if you stop using the Service, except where Your Content has been deleted by you or us in accordance with these Terms.
Your Representations: You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to grant the license described above
- Your Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
- Your Content does not violate any applicable laws or regulations
- Your Content does not contain any false, misleading, or deceptive information
8. Location Services and Safety
The Service uses location-based features to help you discover nearby rideouts and connect with local riders. By using location services, you acknowledge and agree that:
- Location data may be collected, used, and shared as described in our Privacy Policy
- You are responsible for your own safety when participating in rideouts organized through the Service
- We do not verify the accuracy of rideout locations, times, or other details provided by users
- We are not responsible for the safety, conduct, or actions of other users during rideouts
- You participate in rideouts at your own risk and should exercise appropriate caution
- You should verify rideout details independently and make informed decisions about participation
- You must comply with all applicable traffic laws, safety regulations, and local ordinances when participating in rideouts
DISCLAIMER: NEARRIDE IS A PLATFORM FOR CONNECTING RIDERS. WE DO NOT ORGANIZE, SUPERVISE, OR CONTROL RIDEOUTS. WE ARE NOT RESPONSIBLE FOR ANY INJURIES, DAMAGES, OR LOSSES THAT MAY OCCUR DURING OR IN CONNECTION WITH RIDEOUTS. YOUR PARTICIPATION IN RIDEOUTS IS ENTIRELY AT YOUR OWN RISK.
9. Content Moderation and Reporting
We reserve the right, but not the obligation, to monitor, review, moderate, edit, or remove any content posted on the Service at any time, for any reason, and without prior notice. We may remove content that violates these Terms, our Community Guidelines, or applicable laws.
Reporting: If you encounter content or behavior that violates these Terms or our Community Guidelines, you may report it through the in-app reporting feature or by contacting us at support@nearride.app. We will review reports in accordance with our policies and take appropriate action, which may include:
- Removing violating content
- Warning users about violations
- Suspending or terminating accounts
- Reporting illegal activity to law enforcement
False Reports: Submitting false, malicious, or frivolous reports may result in suspension or termination of your account.
10. Intellectual Property Rights
The Service, including but not limited to its design, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of MRV Consulting LTD or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.
The "NearRide" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MRV Consulting LTD or its affiliates or licensors. You may not use such marks without our prior written permission.
You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service without our prior written consent, except as expressly permitted by these Terms.
11. Third-Party Services and Links
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by us. We do not endorse or assume responsibility for any third-party content, services, products, or resources. Your interactions with third parties are solely between you and the third party.
We use third-party services to provide certain features of the Service, including but not limited to analytics, push notifications, image storage, and email delivery. These services are subject to their own terms of service and privacy policies.
12. Disclaimers and Limitation of Liability
Service Provided "As Is": THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service or servers are free of viruses or other harmful components
- The results obtained from using the Service will be accurate or reliable
Full Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER MRV CONSULTING LTD NOR ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, DEVELOPERS, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, LICENSORS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") SHALL BE HELD LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER INTANGIBLE OR TANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY BUGS OR DEFECTS IN THE SERVICE, ANY CONDUCT OF USERS OR THIRD PARTIES, OR ANY OTHER MATTER RELATING TO THE SERVICE.
IN NO EVENT SHALL THE COMPANY PARTIES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. To the extent that such limitations are permitted, the Company Parties' liability shall be limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless MRV Consulting LTD, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another user or third party
- Your Content
- Your participation in any rideout organized through the Service
14. Account Termination
Termination by You: You may terminate your account at any time by contacting us at support@nearride.app or using the account deletion feature in the Service, subject to our data retention policies as described in our Privacy Policy.
Termination by Us: We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or our Community Guidelines
- Fraudulent, harmful, or illegal activity
- Extended periods of inactivity
- Requests by law enforcement or other government agencies
- Discontinuance or material modification of the Service
- Technical or security issues
- Any other reason we determine in our sole discretion
Upon termination, your right to use the Service will immediately cease. We may delete your account, content, and data, subject to our data retention policies and applicable law. We are not liable to you or any third party for termination of your account.
15. Changes to Terms
We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. If we make material changes to these Terms, we will notify you by:
- Posting the updated Terms on this page with a new "Last updated" date
- Sending you an email notification to the email address associated with your account (if you have provided one)
- Displaying a notice in the Service
Your continued use of the Service after any such modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
16. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
Venue and ADR: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be addressed in Ontario, Canada. Such disputes shall be managed and resolved by ADR Chambers Ontario (or its successor), in accordance with its rules and procedures. You agree to submit to the jurisdiction of the courts of Ontario for the purpose of any proceedings necessary to enforce an award or decision of ADR Chambers Ontario.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and MRV Consulting LTD regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms or any rights hereunder without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or failures of third-party services.
